Brenda Hart is Assistant General Counsel and Assistant Secretary of Alcoa.  She leads the Securities Law Practice Area in the Legal Department and has responsibility for providing advice and legal counsel on corporate finance transactions as well as securities law matters, including corporate disclosure issues, securities offerings, debt and equity financings, bank financings, and SEC regulatory filings.  Ms. Hart assumed the additional responsibility of Corporate Governance Counsel. In this role, she will provide counsel on corporate governance and proxy materials and work on governance issues relating to the Board of Directors and its committees.  Since joining Alcoa, she has worked closely with Treasury on most of Alcoa’s capital markets transactions, including Alcoa’s successful equity and equity-linked financings in 2009.       
Brenda joined Alcoa in 2000, after more than 18 years with Reynolds Metals Company, where she held a series of corporate legal positions in the Reynolds legal department, including chief securities and finance counsel and Assistant Secretary of Reynolds.  
 
A native of Virginia, Brenda obtained her law degree in 1982 from the Marshall-Wythe School of Law, College of William & Mary, in Williamsburg, Virginia.  While in law school, Brenda was Notes Editor for the William & Mary Law Review.  Brenda also received her undergraduate degree in English from the College of William & Mary in 1978. 
 
She is a member of the Virginia State Bar, American Bar Association and the Association of Corporate Counsel.
